Public offer of the sole proprietorship GlobalTips Europe, UAB for the provision of services. Public offer for the conclusion of a contract for the provision of services.

1. Definitions
Customer (Merchant) – a legal entity or individual entrepreneur that operates a Restaurant and enters into this Agreement with GlobalTips Europe, UAB in order to receive the Services described herein.
Guest – a visitor of the Restaurant who makes or intends to make a non-cash payment or leave a tip through the Platform.
Recipients – employees or other persons authorized by the Merchant to receive tips or payouts collected through the Platform.
GlobalTips Europe, UAB (hereinafter – “GlobalTips” or the “Service Provider”) – a company established in Lithuania, legal entity code 305942984, registered at Lviv str. 25-104, LT-09320 Vilnius, Lithuania, providing payment facilitation and related technical services through the Platform.
Platform (Server) – the web infrastructure and related software components operated by GlobalTips at https://global.tips/, which enable Guests to make payments and tips to the Merchant or Recipients through licensed payment service providers.
Payment Service Providers (PSPs) – licensed financial institutions (including Stripe, Fenige, Finstrument and other partners) that provide regulated payment services used by GlobalTips to initiate, execute, and settle payments and payouts made via the Platform. PSPs operate under their own authorizations, while GlobalTips acts as a technical and coordinating intermediary facilitating the process.
GlobalTips Services (the “Services”) – a complex of financial facilitation and technological services provided by GlobalTips to the Merchant, including the initiation, routing, and coordination of non-cash payments and tips through licensed PSPs, as well as related functionalities (digital menus, QR codes, analytics, and integrations).
Service Fee – remuneration charged by GlobalTips for providing access to and technical facilitation of payment and payout transactions performed through licensed PSPs and related service features.
Public Offer (Agreement) – this legally binding offer by GlobalTips Europe, UAB to conclude a service agreement on the terms set forth herein, effective upon the Merchant’s acceptance of the offer.
Acceptance – the full and unconditional acceptance of this Public Offer by the Merchant, performed by electronic confirmation through the Platform or in any other equivalent form.
2. General Provisions
2.1. This Public Offer regulates the conditions and procedure for the provision of Services by GlobalTips Europe, UAB (hereinafter – the “Service Provider” or “GlobalTips”) to the Merchant, including access to the Platform and the facilitation of non-cash payments and tips through licensed payment service providers.
2.2. This Agreement constitutes a legally binding contract between GlobalTips and the Merchant and is concluded by the Merchant’s Acceptance of this Public Offer in electronic form, without the need for a written signature. The moment of Acceptance shall be deemed the moment of contract conclusion.
2.3. By accepting this Public Offer, the Merchant confirms that it has full legal capacity and all necessary rights to use GlobalTips Services for the purpose of organizing and receiving payments and tips from Guests.
2.4. GlobalTips provides the Services described herein as a technical and coordinating intermediary, enabling the initiation, routing, and settlement of payments and payouts via licensed Payment Service Providers (PSPs) (including Stripe, Fenige, and Finstrument).
2.5. GlobalTips does not itself provide regulated payment services and does not hold client funds. All payment and payout transactions are executed by licensed PSPs under their own authorizations in accordance with applicable financial legislation and payment scheme rules.
2.6. By accepting this Agreement, the Merchant acknowledges and agrees that GlobalTips, as part of its Service, may interact with PSPs and other financial partners to ensure the proper processing, settlement, and distribution of payments and tips.
2.7. The Merchant confirms that it has read and agrees to the Privacy Policy, the Attendant Terms and Conditions (for Recipients), and the User Terms and Conditions (for Guests), which collectively form an integrated framework governing payment processing and data exchange through the GlobalTips Platform.
3. Subject of the Agreement. Obligations of the Parties
3.1. Based on this Public Offer, the Service Provider (GlobalTips Europe, UAB) undertakes to provide the Customer (the Merchant) with the Services defined herein, and the Merchant undertakes to pay the Service Fee in the amount and manner specified in this Agreement.
3.2. In order to fulfill this Agreement, GlobalTips provides the Merchant with access to the Platform and performs the following Services:
- provision of access to the web interface and feedback service (SaaS functionality);
- creation, setup, and maintenance of a digital (online) version of the Restaurant’s menu;
- generation of a QR code for Guests to access the digital menu and tipping interface;
- placement and hosting of the Restaurant’s menu and related content on the Server;
- providing Guests with access to information about the Restaurant’s Products, including descriptions, composition, and prices;
- providing technical capability for Guests to place and pay for Orders directly through the Server;
- transmission of Orders and tipping information to the Restaurant’s authorized personnel (administrator, waiter, or manager);
- informing the Guest of the cost of the Products, total order amount, and order status;
- ensuring technical integration and data exchange with licensed payment service providers (PSPs) to enable the initiation, processing, and settlement of payments and tips;
- enabling automatic routing of payments and tips to designated Recipients and/or the Merchant;
- providing access to a Personal Account (Merchant Dashboard) to manage Restaurant data, monitor connected employees, and view transaction reports and analytics;
- maintaining secure data transfer, reporting, and support related to the performance of the Platform.
3.3. The Platform also enables Merchants to create, publish, and manage their own loyalty or reward programs for Guests.
GlobalTips provides only the technical functionality for displaying such programs, collecting Guest participation data, and applying discounts or bonuses according to the rules defined by the Merchant.
The Merchant shall be solely responsible for the content, accuracy, and fulfillment of its loyalty program, including the granting of benefits, discounts, or rewards to Guests.
GlobalTips shall not be liable for any obligations, financial commitments, or representations made by the Merchant within such programs.
3.4. Access to the Server is provided only for the Restaurants connected by the Merchant to the Platform in accordance with this Agreement.
3.5. Any additional services beyond those listed in clause 3.2 may be provided by GlobalTips under a separate agreement with the Merchant.
3.6. To receive the Services, the Merchant must create a Personal Account on the Platform.
Access is provided no later than 30 calendar days from the moment the Merchant:
- completes the Service Fee payment,
- provides all required information for creating the digital (electronic) menu,
- connects to a supported payment service provider.
3.7. When creating the Personal Account and connecting the Restaurant, the Merchant shall provide the following information:
- name and surname of the authorized person (Customer);
- legal registration data of the Restaurant (entity name, address, banking details);
- trade name (brand) and address of the Restaurant, number of tables;
- contact information of the responsible person;
- bank details and information required for PSP connection.
3.8. The Merchant is responsible for the accuracy and timeliness of the information provided to GlobalTips. The Service Provider may suspend access to the Platform if provided data are inaccurate or outdated.
3.9. To enable the Services, the Merchant shall provide GlobalTips with technical materials including the menu, list of services, photographs, logo, and any other data required for integration.
3.10. For the proper functioning of the Platform and payment processing, the Merchant shall provide GlobalTips with access to its point-of-sale (POS) or fiscal system (directly or through an API or other authorized integration method) necessary to synchronize order and payment data.
The Merchant grants GlobalTips the right to connect, read, and exchange transactional data from the POS or fiscal system solely for the purposes of:
- displaying order information to Guests;
- reconciling payments and tips;
- ensuring compliance with accounting and reporting requirements; and
- resolving payment-related discrepancies or disputes.
The Merchant shall ensure that such access is lawful, does not violate third-party rights, and that all necessary authorizations or consents from system providers are duly obtained.
3.11. GlobalTips acts as a technical and coordinating intermediary, ensuring that payment and tipping data are securely transmitted between the Merchant, Guests, and licensed PSPs.
GlobalTips does not itself provide regulated payment services and does not hold client funds.
All payment and payout transactions are executed by PSPs under their own authorizations in accordance with applicable financial regulations.
The Services provided by GlobalTips constitute intermediation and facilitation of financial transactions (payment initiation, routing, and settlement) through licensed payment service providers and may qualify as financial services under Article 28(3) of the Lithuanian VAT Law.
3.12. GlobalTips may engage third-party partners and subcontractors (including PSPs and technical providers) to perform its obligations under this Agreement without requiring separate approval from the Merchant.
4. Access to the Server
4.1. Access to the Platform (Server) is provided to the Merchant on a 24-hour basis for informational and operational purposes.
Orders and payments are processed according to the Restaurant’s internal working schedule and technical availability of the integrated payment service providers (PSPs).
4.2. Access to the Platform is provided to the Merchant on an “as is” basis, in accordance with internationally recognized IT standards.
This means that GlobalTips is not responsible for temporary interruptions, compatibility issues, update delays, or other disruptions arising from maintenance, software upgrades, or third-party service providers (including PSPs and hosting partners).
4.3. GlobalTips does not guarantee uninterrupted access to the Platform and shall not be liable for limitations or failures in operation in the following cases:
4.3.1. Force majeure circumstances beyond GlobalTips’ control (such as natural disasters, military or political events, government restrictions, or failures in third-party networks and providers);
4.3.2. Use of devices, browsers, or software not compatible with the Platform;
4.3.3. Unauthorized actions, access, or use of login data by the Merchant or its employees;
4.3.4. Violation by the Merchant of technical requirements or recommendations regarding secure and proper use of the Platform and integrated PSP interfaces.
4.4. GlobalTips may, without prior notice, perform maintenance, updates, or modifications to the Platform, its interface, or internal infrastructure, including integrations with payment service providers. Such actions shall not be considered a breach of this Agreement.
4.5. The Merchant undertakes not to use the Platform or upload content that:
- violates applicable laws or third-party rights;
- contains offensive, defamatory, or obscene materials;
- incites violence, discrimination, or illegal activities;
- may cause technical harm or disrupt the functioning of the Platform or PSP connections.
4.6. The Merchant may terminate its access to the Platform at any time through the Personal Account, subject to settlement of all outstanding payments or fees.
4.7. The Merchant is solely responsible for arranging and maintaining Internet access and equipment necessary to use the Platform.
GlobalTips is not responsible for network stability, local connectivity, or third-party service interruptions.
4.8. All intellectual property rights to the Platform and its components, including the interface, structure, software code, and content, belong to GlobalTips.
Under this Agreement, the Merchant receives a non-exclusive, non-transferable license to use the Platform within the scope and duration of this Agreement.
4.9. To ensure transaction security and compliance with PSP requirements, GlobalTips may suspend or restrict access to the Platform if technical anomalies, suspicious activity, or security risks are detected.
5. Payment procedure
5.1. The Merchant undertakes to pay GlobalTips Europe, UAB (the Service Provider) for the Services rendered – the Service Fee – at the rate established by GlobalTips.
Information about current tariff plans, applicable fees, and billing methods is published on the Platform and may be updated from time to time.
5.2. Payment for GlobalTips Services shall be made by the Merchant through non-cash transfer to the Service Provider’s account or via integrated payment processing solutions available on the Platform. Payment may be made:
- based on an automatically generated invoice through the Platform, according to the data entered by the Merchant;
- or based on an invoice issued by GlobalTips upon request.
The Merchant is responsible for the accuracy of the data used to generate payment documents.
5.3. Payments to GlobalTips and transactions performed through the Platform (including payments for Restaurant orders and tips from Guests) are processed via licensed Payment Service Providers (PSPs) integrated into the Platform, such as Stripe, Fenige, or Finstrument.
These PSPs perform all regulated payment services under their own authorizations and in accordance with applicable law.
GlobalTips facilitates these transactions as a technical and coordinating intermediary and does not itself hold or control client funds.
5.4. The cost of payment system services (acquiring or PSP fees) is not included in the GlobalTips tariff plans and may be charged separately by the respective payment service provider according to its terms.
The timing and rules for payment processing, settlements, and refunds are determined by the respective PSP and may vary depending on the payment method used.
5.5. Payment of the GlobalTips Service Fee is made on a 100% prepayment basis, unless otherwise agreed.
The standard billing period is 30 calendar days.
GlobalTips reserves the right to suspend access to the Platform in case of delayed or incomplete payment.
5.6. All payments between Guests, Merchants, and Recipients performed through the Platform are subject to the rules of the integrated PSPs and card schemes (such as Visa, Mastercard).
GlobalTips shall not be liable for PSP processing times or actions related to chargebacks, reversals, or refunds, but will cooperate with PSPs to ensure proper handling of such cases.
6. Responsibility of the Parties
6.1. The Parties acknowledge that GlobalTips Europe, UAB (the Service Provider) is not a party to the legal relationship between the Guest and the Restaurant, nor to any contractual or labor relationship between the Restaurant and its employees or Recipients.
GlobalTips provides only the technological and coordinating infrastructure enabling payments, tips, and communication between the Parties.
6.2. GlobalTips shall not be responsible for:
- the quality, quantity, or legality of the Restaurant’s Products and services;
- the accuracy of information provided by the Merchant or Guests;
- the actions or omissions of the Merchant, Guests, or Recipients using the Platform;
- compliance of the Restaurant with licensing, food, labor, or tax regulations.
6.3. The liability of GlobalTips under this Agreement, if established, shall be limited to the amount of the last Service Fee paid by the Merchant to GlobalTips.
GlobalTips shall not be liable for indirect, incidental, or consequential damages, including lost profits or loss of data.
6.4. GlobalTips shall not be liable for any interruptions, delays, or errors in the processing of payments or payouts caused by the operation of licensed Payment Service Providers (PSPs), acquiring banks, or other financial institutions, including but not limited to cases of delays, chargebacks, reversals, or refunds initiated by such entities.
However, GlobalTips undertakes to cooperate with PSPs and take reasonable measures to assist the Merchant in resolving such issues.
6.5. The Merchant shall be solely responsible for any chargebacks, reversals, disputes, or losses arising from or related to the Merchant’s actions, omissions, or the nature of goods and services offered.
In particular, the Merchant shall bear full liability in cases where the Platform or PSPs are used for purposes that are illegal, restricted, misleading, or inconsistent with this Agreement.
In such cases, the Merchant undertakes to indemnify and hold harmless GlobalTips and its payment partners (PSPs) from any claims, fines, penalties, or financial losses resulting from such actions, including any amounts withheld or charged by PSPs or card networks.
6.6. The Merchant is solely responsible for ensuring that its use of the Platform complies with applicable laws and internal policies, and for all actions performed through its Personal Account.
6.7. GlobalTips shall not be held liable for any losses arising from the Merchant’s failure to maintain secure access credentials or unauthorized access by its employees or third parties.
6.8. GlobalTips shall not be liable for events beyond its reasonable control, including force majeure circumstances, failures of telecommunications networks, PSP systems, or third-party services essential to Platform operation.
6.9. Nothing in this Agreement shall be construed as creating a partnership, employment, or agency relationship between GlobalTips and the Merchant, or between GlobalTips and Recipients.
7. Procedure for considering complaints
7.1. Complaints related to the quality of access to the Platform, delays or errors in payment or payout processing, operation of the Personal Account, or other matters related to the execution of this Agreement (hereinafter – Complaints) may be submitted to GlobalTips Europe, UAB within 24 hours from the moment the circumstances that are the subject of the Complaint arise.
7.2. Complaints shall be submitted in writing to clients@globaltips.io
and must include:
- the Merchant’s identification data (name, company, registration number);
- the date and time of the incident;
- a detailed description of the circumstances, and, if available, supporting documents or screenshots.
7.3. GlobalTips undertakes to promptly review each Complaint, verify the information provided, and take all possible measures to correct any deficiencies.
If the Complaint relates to a transaction processed by a licensed Payment Service Provider (PSP), GlobalTips will immediately coordinate with the relevant PSP and inform the Merchant of the outcome.
7.4. The results of the Complaint review shall be provided to the Merchant in writing within 14 calendar days from the date of its receipt.
If additional information is required for investigation, the Merchant shall provide it upon request without undue delay.
7.5. If deficiencies or technical errors are confirmed, GlobalTips shall eliminate them as soon as reasonably possible and may, at its discretion, grant the Merchant service credits or bonuses applicable to future Service Fees.
7.6. Complaints concerning card payments, chargebacks, reversals, or refunds shall be handled by the relevant PSP under its applicable rules and timelines.
GlobalTips will assist the Merchant in communication with the PSP but shall not be responsible for the PSP’s final decision.
8. Confidentiality and data protection
8.1. By accepting this Public Offer, the Merchant provides GlobalTips Europe, UAB (the Service Provider) with consent to process its personal and business data necessary for the execution of this Agreement.
8.2. GlobalTips processes the Merchant’s data solely for the purposes of:
- providing access to and operation of the Platform;
- processing payments and payouts through integrated licensed Payment Service Providers (PSPs);
- ensuring communication, reporting, and technical support;
- fulfilling accounting, legal, and regulatory obligations applicable to GlobalTips and its partners.
8.3. In order to fulfill the Agreement, GlobalTips may transmit limited data (such as identification details, account identifiers, or transaction references) to third parties involved in payment processing, including PSPs (Stripe, Fenige, Finstrument) and technical service providers acting under confidentiality and data protection obligations.
Such partners process the data solely for the purpose of enabling payment and payout transactions.
8.4. GlobalTips remains the data controller with respect to all data collected and processed through the Platform.
PSPs act as technical processors or independent controllers within the scope of their regulatory authorization, in accordance with the General Data Protection Regulation (GDPR) and applicable national legislation.
8.5. The Merchant’s data shall not be transferred to any other third parties without the Merchant’s prior consent, except where required by law, competent authorities, or under payment network rules (e.g., Visa, Mastercard) in connection with the processing of transactions.
8.6. The Merchant’s consent to data processing is granted for the entire period of use of the Platform and for the retention period required by financial or tax regulations.
Upon termination of the Agreement, GlobalTips shall store the data only for the minimum legally required duration.
8.7. The Merchant has the right to access, correct, or request deletion of its personal data by submitting a written request to privacy@globaltips.io.
GlobalTips shall process such requests within the time limits established by applicable data protection laws.
8.8. GlobalTips reserves the right to remove or restrict any information stored on the Platform that violates this Agreement, applicable law, or the rights of third parties, including PSP security or compliance requirements.
9. Duration of the Agreement and other terms
9.1. This Agreement enters into force from the moment the Merchant accepts this Public Offer in the manner specified in clause 2.2 and remains in effect for an indefinite period until terminated by either Party in accordance with this Agreement.
9.2. The Merchant has the right to terminate this Agreement at any time by sending a written notice to GlobalTips via email at clients@globaltips.io or through the Personal Account.
Termination shall take effect within 10 (ten) calendar days from the date of receipt of such notice, provided that the Merchant has fulfilled all payment obligations due to GlobalTips.
9.3. GlobalTips has the right to unilaterally suspend or terminate this Agreement, without any compensation to the Merchant, in the following cases:
- violation by the Merchant of payment obligations under this Agreement;
- provision of false or misleading information;
- breach of data protection, PSP, or platform security requirements;
- other material violations of this Agreement.
9.4. GlobalTips may amend the terms of this Agreement, tariffs, and service functionality from time to time.
Such amendments shall enter into force upon their publication on the Platform unless a later effective date is specified.
Continued use of the Platform after the publication of updated terms constitutes the Merchant’s acceptance of such amendments.
9.5. Notifications and correspondence between the Parties shall be conducted electronically using the email addresses specified in this Agreement or within the Platform interface.
Electronic messages and confirmations shall have the same legal force as written documents.
9.6. Each Party shall not be liable for failure or delay in performing its obligations caused by force majeure circumstances, including natural disasters, acts of war, strikes, government restrictions, or failures of payment or communication systems beyond its control.
9.7. This Agreement is governed by the laws of the Republic of Lithuania.
Any disputes arising from or related to this Agreement shall be resolved by negotiation, and if unresolved, submitted to the competent courts of the Republic of Lithuania.
9.8. Acceptance of this Agreement in electronic form (including online registration or activation of the Personal Account) is legally equivalent to signing a written contract between the Parties.
No additional signatures or seals are required for its validity.
